BY- LAWS ARTICLE I - MEETINGSSection 1. The regular meetings of the Club shall be held monthly or as designated by the Board of Governors. Section 2. Special meetings may be called any time by the President or on the written request of four members of the Board of Governors, or fifteen members of the Club stating the purpose of such meeting. Notice of such special meetings shall be mailed to each member at least three days before the date thereof stating the purpose and no other business shall be considered except by unanimous consent.Section 3. Fifteen members shall constitute a quorum at either regular or special meetings. Section 4. The Past Presidents of the Club will have the privilege and be so notified, that their representative may be allowed to attend all meetings of the Board of Governors and shall have the privilege of making suggestions and recommendations to the incumbent directorate for the future programs of the Club, but will not be allowed the privilege to vote. ARTICLE II - ANNUAL MEETINGS AND ELECTION OF OFFICERS Section 1. The annual meeting shall be held in Jefferson County, Alabama at a time and place designated by the Board of Governors. At the annual meeting, officers and Board of Governors shall be elected, all to serve for one year, except that the candidates of the Transportation and Industrial Classification receiving the largest number of votes shall be elected to serve for two years. Section 2. At least forty-five days prior to the annual meeting, the President shall appoint two committees, none of whom shall be an officer or member of the Board of Governors, who shall nominate officers and the required number of governors. If, in the opinion of the nominating committees, the Vice President incumbent deserves advancement, he should be approached first to determine his willingness to be elevated and category determined on that basis. However, if for any reason he should refuse or be unable to accept the nomination, the Committees shall each nominate for the office of President from the classification (Transportation or industrial) represented by the incumbent Vice President. The committee shall report the names at a regular meeting held at least fifteen days prior to the annual meeting. Section 3. Any fifty or more resident members may prepare a members’ ticket and present it to the Secretary-Treasurer at least ten days before the annual meeting. Members’ tickets shall not include any of the names appearing on the regular tickets. Such tickets shall be mailed to each member of the Club at least seven days prior to the annual meeting. Section 4. Only persons nominated in accordance with Section 2 and 3 shall be eligible for election. Section 5. The President and Vice President shall be of different classification. These officers shall alternate annually between the Transportation and Industrial classification. Section 6. Promptly after the annual election, the President shall call a meeting of the Board of Governors and they shall elect a Secretary-Treasurer, to be chosen from the membership. The Secretary-Treasurer shall not be required to pay dues and shall receive a salary fixed by the Board of Governors. The Secretary-Treasurer thus selected shall become a member of the Board of Governors in accordance with Article IV of the Constitution. Also, the President and Board of Governors will select a member to serve as Executive Events Coordinator. Section 7. The retiring President shall automatically become a member of the Board of Governors for a period of one year following his term of President. Section 8. The Board of Governors shall consist of equal number of Transportation and Industrial classification provided, however, that this shall not apply to the retiring President and the Secretary-Treasurer. The Nominating Committees shall make every effort to involve all modes of transportation in the nominating process for every office. Section 9. (1) All official vacancies occurring during the year by resignation or otherwise shall be filled for the unexpired term by the Board of Governors at its first regular meeting after the vacancy occurs. (b) In the event of a vacancy occurring in the Presidency, the Vice President shall automatically succeed to the office. In case of a vacancy occurring in the Vice Presidency, the vacancy shall be filled in the manner prescribed in Paragraph (a). Section 10. The Board of Governors will appoint all necessary personnel to properly conduct the annual election and the counting of the votes of the Club as set forth by the following rules: (a) All ballots (except absentees) shall be issued at the time of registration to vote. Each ballot will be numbered with a detachable stub bearing the same number. The stub shall be detached by Election Commissioner at the time ballot is cast. Absentee ballots of a different color than regular ballots will be mailed to the membership at least seven (7) days prior to the annual meeting. Absentee ballots can be cast only by members with a valid reason, i.e., illness or being out of town on election day. All absentee ballots must be received by the Secretary-Treasurer, BY MAIL, no later than 5:00 PM. election day and must contain certification on envelope, with signature, as to reason absentee ballot cast. (b) Only the official Election Committee and persons actually casting their ballots will be permitted in the polling place. The Election Committee shall be the sole judge of the validity of any absentee ballot cast. (c) A private room will be provided for the vote tabulation by not more than four (4) impartial vote counters and under no circumstances will any more other than the vote counters and the Secretary-Treasurer of the Club be permitted to enter. (d) Election results will remain confidential until the successful candidates are announced by the President at the Annual Dinner. ARTICLE III - DUTIES OF OFFICERSSection 1. The President, or in his absence, the Vice President, or in his absence, the Secretary-Treasurer shall preside at all annual or business meetings of the club. Section 2. The Secretary-Treasurer shall keep and preserve a record of the proceedings of the Club and minutes of the meetings of the Board of Governors. Copy of minutes to be mailed to each officer and Board Member prior to the next meeting. He shall receive all monies due and payable to the Club, depositing same in bank approved by the Board of Governors and disburse same on vouchers signed by the President and the Treasurer.He shall keep an account of all receipts and disbursements, making same available for Auditing Committee following the Inaugural Ball during March of each year and a financial statement given the membership in April of each year. In generally accepted accounting procedure, making a monthly report of same to the Board of Governors, using appropriate descriptive entries for all receipts and disbursements. He shall prepare notices of all meetings and supervise mailing of same to the membership. He shall maintain a continuous up-to-date membership list and up-to-date mailing list making same available for printing of the membership roster upon direction of the Board of Governors. He shall furnish bond, premium to be paid by the Club, the amount of bond to be set by the Board of Governors (present bond $5,000).He shall certify eligibility of candidates nominated for office and shall notify members of their election. He shall send notices of Officers and Board Members pertaining to time and location of Board of Governors meetings.He shall handle business matters of the Club as may be directed by the President and/or the Board of Governors and tender proposed budget based on receipts and disbursements of the past year. Section 3. The Executive Events Coordinator shall maintain contact with and be available to all event chairmen. ARTICLE IV - DUTIES OF THE BOARD OF GOVERNORS Section 1. The Board of Governors shall manage the general affairs of the Club, subject to such instructions and limitations as from time to time may be prescribed by the Club. Section 2. It shall control and manage the property of the Club and enforce obedience to its rules. All contracts shall be made and expenditures shall be approved by it and it shall not have the power, without express authority from the Club, to make it liable for any debt exceeding one-half of the sum, which, at the time of contracting, is on hand in cash, and not subject to prior liabilities. It shall make a full report of all the proceedings at every annual meeting and may at any business meeting, recommended such action by Club as it may deem advisable. Section 3. The Board of Governors shall have the power to suspend, expel or reinstate any member at its discretion. Section 4. It shall meet at least one each month or as designated by its members for the transaction of business. Board members shall attend regularly, unless excused by the Board. A member missing three (3) meetings in succession, unexcused, shall forfeit his office, and any such vacancy shall be filled by the Board of Governors as provided for in Article II, Section 9. Seven (7) members of the Board of Governors shall constitute a quorum. ARTICLE V - APPLICATION FOR MEMBERSHIP All applications for membership must be made to the Club in writing. Said application must be accompanied by cash or its equivalent to the amount provided in Article VI and shall be referred to the Membership Committee who shall pass upon the qualifications of the Applicant, in accordance with Article Ill, Section 1, of the Constitution. The application shall then be submitted to the Board of Governors for acceptance or rejection. ARTICLE VI - DUES The dues from members shall be $50.00 per annum, payable annually in advance on March 1. New members joining between March 1 to August 31 shall pay $50.00. Those joining between September 1 to February 28 shall pay $25.00. There will be no initiation fee. Section 2. Delinquencies: When a member fails to pay annual dues within ninety days after such dues become payable, he shall automatically forfeit his membership and his name shall be dropped from the rolls. ARTICLE VII - COMMITTEES The President shall appoint committees necessary for the proper conduct of the business of the Club. ARTICLE VIII - PROCEDURE Robert’s Rules of Order shall govern the procedure of meetings of the Club, so far as they may consistent with the Constitution and By-Laws. ARTICLE IX The By-Laws may be amended by a two-thirds vote of the members voting, provided the amendment or amendments has been approved and recommended by the Board of Governors and copy thereof filed with the Secretary-Treasurer, who shall transmit same by mail to each member.
